Terms of Service

Welcome to VendGros. These Terms of Service (“Terms”) govern your access to and use of the VendGros website, mobile applications, and services (collectively, the “Platform”). By accessing or using our Platform, you agree to be bound by these Terms.
Please read these Terms carefully. If you do not agree to these Terms, you may not access or use the Platform.
1. Acceptance of Terms
By creating an account, accessing, or using the VendGros Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Platform on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms.
2. About VendGros
VendGros is an online marketplace that connects sellers (“Sellers”) with buyers (“Buyers”) for bulk sales with local pickup. We provide the platform and tools to facilitate transactions but are not a party to the transactions between Buyers and Sellers. VendGros does not own, sell, or buy any products listed on the Platform.
3. Eligibility
To use VendGros, you must:
- Be at least 18 years of age
- Be capable of forming a binding contract
- Not be prohibited from using the Platform under applicable law
- Provide accurate and complete registration information
- Have a valid Canadian phone number
- For Sellers: have a pickup location with a valid Canadian postal code
4. Account Registration
4.1 Account Creation
You must create an account to access most features of the Platform. You agree to provide accurate, current, and complete information during registration, including a valid Canadian phone number, and to update this information to keep it accurate.
4.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
4.3 One Account Per User
Each user may maintain only one active account. Creating multiple accounts may result in suspension or termination of all accounts.
5. Seller Terms
5.1 Seller Eligibility
To sell on VendGros, you must have a valid Canadian phone number and a pickup location with a valid Canadian postal code. You must comply with all applicable laws and regulations regarding the sale of your products.
5.2 Listings
Sellers are solely responsible for the accuracy of their listings, including descriptions, pricing, images, quantities, and pickup location details. All listings must comply with our listing policies and applicable laws.
5.3 Pricing
Sellers set their own prices. The price displayed to Buyers includes a 5% markup, which serves as the Buyer’s deposit. Sellers receive exactly the price they set when the Buyer pays the balance at pickup.
5.4 Prohibited Items
You may not list items that are illegal, counterfeit, stolen, hazardous, or otherwise prohibited by our policies or applicable law. VendGros reserves the right to remove any listing at its discretion.
5.5 Transaction Completion
Sellers agree to make products available for pickup as described, respond to Buyer inquiries professionally, and honor confirmed orders. Failure to fulfill orders may result in account penalties or termination.
5.6 Fees
Sellers pay no fees to VendGros. Listing is free, and Sellers receive 100% of their listed price directly from Buyers at pickup. See our Fees page for details.
6. Buyer Terms
6.1 Ordering
When you place an order, you are committing to purchase from the Seller. Orders are binding once confirmed. You may order from 1 unit up to the maximum quantity set by the Seller.
6.2 Payment
Buyers pay a 5% deposit through the Platform when placing an order. This deposit secures the order. The remaining balance is paid directly to the Seller at pickup. The payment method for pickup (cash, e-transfer, etc.) is arranged between Buyer and Seller.
6.3 Pickup
Buyers agree to pick up orders at the Seller’s specified location and to coordinate pickup timing with the Seller. You agree to inspect items at pickup and complete payment to the Seller.
6.4 No-Shows
Buyers who fail to pick up orders without notice may forfeit their deposit and may face account restrictions.
7. Deposits
7.1 Deposit Processing
VendGros uses third-party payment processors to collect Buyer deposits. By using the Platform, you agree to the terms of these payment processors.
7.2 Deposit Purpose
The 5% deposit secures the Buyer’s order and helps ensure Buyers are committed to completing the transaction. The deposit covers platform costs.
7.3 Deposit Refunds
Deposits may be refunded if an order is cancelled before the scheduled pickup, subject to the circumstances and our policies. Deposits are generally not refunded for Buyer no-shows.
8. User Conduct
You agree not to:
- Violate any applicable laws or regulations
- Infringe on the rights of others, including intellectual property rights
- Post false, misleading, or fraudulent content
- Harass, threaten, or abuse other users
- Attempt to circumvent platform processes
- Use the Platform for any unauthorized commercial purpose
- Interfere with the proper operation of the Platform
- Attempt to access accounts or data that does not belong to you
- Use automated means to access the Platform without permission
- Engage in any activity that could damage our reputation or business
9. Intellectual Property
9.1 VendGros Property
The Platform, including its design, features, content, and trademarks, is owned by VendGros and protected by intellectual property laws. You may not copy, modify, or distribute our intellectual property without permission.
9.2 User Content
You retain ownership of content you post to the Platform. By posting content, you grant VendGros a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with our services.
10. Disclaimers
10.1 Platform “As Is”
The Platform is provided “as is” and “as available” without warranties of any kind, either express or implied. We do not guarantee that the Platform will be uninterrupted, secure, or error-free.
10.2 Third-Party Content
VendGros is not responsible for the accuracy, quality, or legality of user-generated content, listings, or transactions between users.
10.3 No Endorsement
VendGros does not endorse any Seller, Buyer, product, or listing on the Platform.
10.4 In-Person Transactions
VendGros is not responsible for interactions that occur during in-person pickup. Users meet and transact at their own risk.
11. Limitation of Liability
To the maximum extent permitted by law, VendGros and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to loss of profits, data, or business opportunities.
Our total liability for any claims arising from these Terms or your use of the Platform shall not exceed the greater of (a) the amount you paid to VendGros in the twelve months before the claim arose, or (b) $100 CAD.
12. Indemnification
You agree to indemnify and hold harmless VendGros and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any rights of another.
13. Dispute Resolution
13.1 Between Users
VendGros encourages users to resolve disputes directly. We may assist with mediation but are not obligated to resolve disputes between Buyers and Sellers.
13.2 With VendGros
Any disputes between you and VendGros shall first be addressed through our customer support. If unresolved, disputes shall be governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein.
14. Termination
14.1 By You
You may close your account at any time by contacting our support team. You remain responsible for any pending transactions and obligations.
14.2 By VendGros
We may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason at our discretion. We will attempt to provide notice when possible.
15. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes through the Platform or by email. Your continued use of the Platform after changes become effective constitutes acceptance of the modified Terms.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and VendGros.
16.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
16.3 No Waiver
Our failure to enforce any provision of these Terms does not waive our right to enforce that provision in the future.
16.4 Assignment
You may not assign your rights under these Terms without our consent. We may assign our rights to any affiliate or successor.
